This Know Your Business (KYB) Policy outlines the procedures and requirements for verifying the identity and legitimacy of corporate and institutional clients ("Entities") seeking to use the Tokenizer.Estate platform, www.tokenizer.estate (the "Platform"). This policy is an integral part of our broader Anti-Money Laundering (AML) framework and ensures compliance with applicable laws and regulations in your jurisdiction.

1. Purpose of KYB The purpose of our KYB Policy is to:

Prevent the Platform from being used for illegal activities such as money laundering, terrorist financing, fraud, and sanctions evasion.
Identify and verify the legal existence, structure, and beneficial ownership of all Entity clients.
Assess the risk associated with Entity clients and apply appropriate due diligence measures.
Comply with all relevant AML/CFT laws and regulations.

2. KYB Requirements for Entities Before an Entity can access full functionalities of the Tokenizer.Estate Platform, it must undergo and successfully complete our KYB verification process. The required documentation and information may vary based on the Entity's legal structure, jurisdiction, and assessed risk level, but typically include:

2.1. Legal Entity Information:

Full legal name of the entity.
Legal form (e.g., corporation, partnership, trust, foundation).
Date and place of incorporation/registration.
Registered address and principal place of business.
Tax identification number or equivalent (e.g., VAT number, EIN).
Company registration number.

2.2. Corporate Documents:

Certificate of Incorporation/Formation.
Articles of Association/Bylaws or equivalent constitutional documents.
Shareholder register or equivalent document detailing ownership structure.
Board resolution authorizing the opening of an account with Tokenizer.Estate and designating authorized signatories.
Proof of business address (e.g., recent utility bill, lease agreement).

2.3. Beneficial Ownership Information:

Identification of all individuals who directly or indirectly own or control [e.g., 25% or more] of the Entity's shares or voting rights, or who otherwise exercise control over the Entity.
For each beneficial owner, we will require personal KYC documentation (as per our AML Policy for individuals), including full name, date of birth, residential address, nationality, and government-issued ID.
If no individual meets the beneficial ownership threshold, we will identify the individual(s) who exercise control through other means (e.g., senior managing official).

2.4. Directors and Senior Management:

Full names of all directors and senior managing officials.
For key individuals (e.g., CEO, CFO, authorized signatories), personal KYC documentation may be required.

2.5. Source of Funds/Wealth:

Information regarding the Entity's primary business activities and industry.
Details on the source of funds to be used on the Platform (e.g., company profits, capital injection, loan).

3. Verification Process

Document Submission: Entities will be required to upload scanned copies or provide certified true copies of all requested documents.
Document Verification: We will verify the authenticity and validity of all submitted documents using reliable, independent sources where possible.
Information Cross-Referencing: Information provided will be cross-referenced with public records, business registries, and third-party databases.
Sanctions and PEP Screening: All identified beneficial owners, directors, and authorized signatories will be screened against global sanctions lists (e.g., OFAC, UN, EU) and Politically Exposed Persons (PEP) databases.
Risk Assessment: Each Entity will undergo a risk assessment based on its jurisdiction, industry, ownership structure, and proposed activities on the Platform. Enhanced Due Diligence (EDD) will be applied to higher-risk entities.

4. Ongoing Due Diligence Tokenizer.Estate conducts ongoing monitoring of Entity clients to ensure that the information we hold remains accurate and up-to-date. This includes:

Periodic reviews of KYB documentation.
Monitoring for changes in beneficial ownership or control.
Reviewing transaction patterns for any suspicious activity.
Requesting updated information or documentation as needed.

5. Failure to Comply Failure to provide the requested KYB documentation or to complete the verification process to our satisfaction may result in:

Delay or denial of account activation.
Suspension or termination of existing accounts.
Restriction of Platform functionalities.
Reporting to relevant authorities if suspicious activity is identified.

6. Confidentiality All information collected during the KYB process will be treated with strict confidentiality in accordance with our Privacy Policy and applicable data protection laws.
